Terms of Service

These Terms of Service ("Terms") govern your access to and use of the CW Suite platform, website, and related services (collectively, the "Services") provided by CW Suite LLC. By accessing or using the Services, you agree to be bound by these Terms.

1. Service Description

CW Suite is a cloud-based enterprise software platform that provides integrated business management capabilities including point of sale, inventory management, supply chain, financial management, human capital management, customer engagement, and analytics. Features available depend on your subscription plan.

2. Account Registration

To use the Services, you must create an account. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Ensuring all users within your organization comply with these Terms
• Notifying us immediately of any unauthorized access or security breach

You must be at least 18 years old and have the legal authority to bind your organization to these Terms.

3. Subscription Terms

Plans and Pricing

CW Suite is sold under a written order form or subscription agreement. That document sets your plan, feature scope, usage limits, and fees, and it takes precedence over these Terms where the two differ. We do not publish standard price lists; fees change only as set out in your agreement, and never with less than 30 days written notice before a renewal period.

Billing and Payment

• Subscription fees are billed in advance on the cycle stated in your order form
• All fees are non-refundable except as expressly stated in these Terms or required by law
• Late payments may be subject to interest at 1.5% per month
• We may suspend access for accounts with overdue payments exceeding 30 days

Renewal and Cancellation

Subscriptions automatically renew unless you cancel before the renewal date. Cancellation takes effect at the end of your current billing period.

4. User Responsibilities

• Comply with all applicable laws and regulations
• Use the Services only for lawful business purposes
• Not attempt unauthorized access to any part of the Services
• Not reverse engineer, decompile, or disassemble any part of the Services
• Not use the Services to store or transmit malicious code
• Not resell or redistribute the Services without written consent

5. Data Ownership & Intellectual Property

Your Data

You retain all rights to your Customer Data. You grant us a limited license to use, process, and store your data solely for providing the Services. Upon termination, you may export your data for 30 days.

Our Intellectual Property

The Services are our intellectual property. Your subscription grants a limited, non-exclusive, non-transferable right to access the Services during the subscription term.

6. Service Level Agreement

• Uptime: 99.9% monthly uptime for the core platform
• Maintenance: Planned windows communicated 48 hours in advance
• Support: Critical issues: 1-4 hours; High: 4-8 hours; Normal: 1 business day
• Backups: Daily automated backups with 30-day retention

7. Support Services

• Standard: Email and knowledge base during business hours
• Professional: Email, chat, and phone during extended hours
• Enterprise: 24/7 support with dedicated account manager

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CW SUITE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Warranties & Disclaimers

CW Suite warrants the Services will perform substantially per published documentation. THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

10. Indemnification

You agree to indemnify and hold harmless CW Suite from any claims arising from your use of the Services or violation of these Terms.

11. Termination

• By either party with 30 days notice before billing period end
• Immediately, if the other party materially breaches and fails to cure within 30 days
• Immediately, if the other party becomes insolvent or ceases operations

12. Governing Law

These Terms are governed by the laws of the State of Delaware. Disputes will be resolved through binding arbitration administered by the AAA in Wilmington, Delaware.

13. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and CW Suite.
• Severability: If any provision is found unenforceable, the rest continue in full force.
• Assignment: You may not assign without our prior written consent.
• Force Majeure: Neither party is liable for delays caused by events beyond reasonable control.
