Terms of Service

These Terms of Service ("Terms") govern your access to and use of the CW Suite platform, website, and related services (collectively, the "Services") provided by CW Suite Inc. ("CW Suite," "we," "us," or "our"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Services.

1. Service Description

CW Suite is a cloud-based enterprise software platform that provides integrated business management capabilities including, but not limited to, point of sale, inventory management, supply chain, financial management, human capital management, customer engagement, and analytics. The specific features and modules available to you depend on your subscription plan.

We reserve the right to modify, update, or discontinue any part of the Services at any time. We will provide reasonable notice for material changes that affect your use of the platform.

2. Account Registration

To use the Services, you must create an account and provide accurate, complete information. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Ensuring that all users within your organization comply with these Terms
  • Notifying us immediately of any unauthorized access or security breach

You must be at least 18 years old and have the legal authority to bind your organization to these Terms. If you are using the Services on behalf of a company or other entity, you represent that you are authorized to accept these Terms on its behalf.

3. Subscription Terms

Plans and Pricing

CW Suite offers various subscription plans with different feature sets, usage limits, and pricing tiers. The details of your subscription are specified in your Order Form or the plan you selected during registration. Pricing is subject to change with 30 days written notice before your next renewal period.

Billing and Payment

  • Subscription fees are billed in advance on a monthly or annual basis, as selected
  • All fees are non-refundable except as expressly stated in these Terms or required by law
  • You authorize us to charge your designated payment method for all applicable fees
  • Late payments may be subject to interest at a rate of 1.5% per month or the maximum rate permitted by law
  • We may suspend access to the Services for accounts with overdue payments exceeding 30 days

Renewal and Cancellation

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel your subscription at any time through your account settings or by contacting our support team. Cancellation takes effect at the end of your current billing period.

4. User Responsibilities

When using the Services, you agree to:

  • Comply with all applicable laws and regulations
  • Use the Services only for lawful business purposes
  • Not attempt to gain unauthorized access to any part of the Services or related systems
  • Not reverse engineer, decompile, or disassemble any part of the Services
  • Not use the Services to store or transmit malicious code, viruses, or harmful content
  • Not use the Services to send unsolicited communications (spam)
  • Not resell, sublicense, or redistribute the Services without our written consent
  • Maintain appropriate security measures for your account and data
  • Provide accurate and up-to-date information in your account

5. Data Ownership & Intellectual Property

Your Data

You retain all rights, title, and interest in your Customer Data. You grant us a limited license to use, process, and store your data solely for the purpose of providing the Services. Upon termination of your subscription, you may export your data for a period of 30 days, after which we may delete it in accordance with our data retention policies.

Our Intellectual Property

The Services, including all software, documentation, designs, trademarks, and content created by CW Suite, are our intellectual property or that of our licensors. Your subscription grants you a limited, non-exclusive, non-transferable right to access and use the Services during the subscription term. Nothing in these Terms transfers ownership of any intellectual property to you.

Feedback

If you provide us with suggestions, ideas, or feedback about the Services, you grant us a worldwide, royalty-free, perpetual license to use, modify, and incorporate such feedback into our products and services without any obligation to you.

6. Service Level Agreement

CW Suite commits to the following service levels for eligible subscription plans:

  • Uptime: 99.9% monthly uptime for the core platform (excluding scheduled maintenance)
  • Scheduled Maintenance: Planned maintenance windows will be communicated at least 48 hours in advance and scheduled during off-peak hours when possible
  • Support Response Times: Based on your subscription tier — Critical issues: 1-4 hours; High: 4-8 hours; Normal: 1 business day
  • Data Backup: Daily automated backups with 30-day retention

Service credits may be available for qualifying downtime events that fall below our uptime commitment. Details are specified in your Order Form or subscription agreement.

7. Support Services

CW Suite provides technical support as part of your subscription. Support availability, channels, and response times vary by subscription plan:

  • Standard: Email and knowledge base support during business hours
  • Professional: Email, chat, and phone support during extended business hours
  • Enterprise: 24/7 support with dedicated account manager and priority escalation

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CW SUITE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

9. Warranties & Disclaimers

CW Suite warrants that the Services will perform substantially in accordance with our published documentation. THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or completely secure. You acknowledge that no software is entirely free from bugs or vulnerabilities.

10. Indemnification

You agree to indemnify, defend, and hold harmless CW Suite, its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including reasonable attorney fees) arising out of your use of the Services, violation of these Terms, or infringement of any third-party rights.

11. Termination

Either party may terminate these Terms:

  • By providing written notice at least 30 days before the end of the current billing period
  • Immediately, if the other party materially breaches these Terms and fails to cure within 30 days of written notice
  • Immediately, if the other party becomes insolvent, files for bankruptcy, or ceases operations

Upon termination, your right to access the Services ceases. We will make your data available for export for 30 days following termination. Provisions that by their nature should survive termination (including limitations of liability, indemnification, and intellectual property rights) will survive.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising out of or related to these Terms will be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration will take place in Wilmington, Delaware, unless the parties agree otherwise.

13. General Provisions

  • Entire Agreement: These Terms, together with any Order Forms and referenced policies, constitute the entire agreement between you and CW Suite.
  • Severability: If any provision is found unenforceable, the remaining provisions will continue in full force and effect.
  • Waiver: Failure to enforce any provision does not constitute a waiver of that provision or any other provision.
  • Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
  • Force Majeure: Neither party will be liable for delays or failures caused by events beyond reasonable control, including natural disasters, wars, pandemics, or government actions.
  • Notices: Notices will be sent to the email address associated with your account or to the address specified in your Order Form.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes at least 30 days in advance by email or through the platform. Your continued use of the Services after the effective date of any changes constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you may terminate your subscription before the changes take effect.
